I was hovering my Esky belt-cp today. Everything are fine until my 3rd pack of Lipo. After just a few seconds of using my Lipo(11.1v 2200mah 20C), & I mean really just a few seconds. The heli just lost power, is like the Lipo ran out of power but is impossible cuz it is reading at 4.2v per cell. At first I though may b the motor or ESC were too hot, but I try it 2 hrs later and is still the same (throttle up, lost power in just a seconds). Any comment? Motor gone? ESC gone? the Lipo gone?

Sounds like the ESC. If it was the motor it probably wouldn't wind up at all.
I haven't had any trouble with mine but several of the other guys here have.
There are lots of suggestions for replacement ESCs on other threads here, and I'm sure one of the other guys will jump in here and help ya out here.

I had the same problem with my belt. It turned out to be the ESC. I had to replace it. In the vid u can see how my problem looked

try a different battery, do you get the beeps on powerup and the gyro energise?
it does sound like the esc, i cut the plastic of the top of mine and moved it to under the maingear for air circulation just incase when i got my belt.
heres a pic if your interested:-

Its the ESC overheating.
Place it in a spot as did barks in an area where it can be vented by the main gear. Much better route is to pick up an ESC for under 30 bucks at cnchelicopter.com

Appear that my lipo puffed (only 2 use!!!). But I still feel a little drop of power with other lipo, happens when I throttle up after a few seconds, is not as bad as SierraMike heli showed in the video but significant enough to hear it (the motor spinning sound reduced). Is it because the "burst" went out? I have no idea how burst works, I'm just making guesses. ESC too hot will create such problem too?

If your Lipo puffed then my guess would be that you have some binding somewhere or a really bad tracking problem.. this causes the motor to get overworked and in turn overheats your ESC and can overdischarge your battery too. I found this out when a loose screw was causing tracking problems (those of you with cnc heads will know the screw I mean!!), however I run an hrpolyx voltage monitor which picked up over discharge on take off with a full battery  it was then I investigated and found the problem.
Check your blade tracking, if it is not right then try to adjust if it never seems to go right then check your head over.

Check everything. anything that will cause drag on the motor, too tight of a belt, gear mesh too tight, bad tracking, bent shaft etc....
All this puts extra load on the Motor and ESC causing ESC and battery to over heat/discharge.

Great! crashed today, flybar case, main blade housing, main and feathering shaft gone. My ESC and one servo gonel, lucky that my main gear survived but not lucky enough to save my wallet. One problem over another, do these Heli just hate Human beings? When can we live along and stop killing my wallet. Anyway. thnx alot for the suggestion. I'm changing ESC and hope the problem goes away.

Buy the CNC Sonix head for the Belt CP at cnchelicopter.com and forget about breaking parts again :) It will also help your flying a great deal.
